Terms of Service

These Terms of Service ("Terms") govern your access to and use of PlanSight AI ("PlanSight", "Service", "we", "us", "our"), operated by AI Solution Maven, based in Queensland, Australia.

By creating an account, uploading a file, or accessing any part of the Service, you ("you", "Customer", "User") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

PlanSight is a web-based tool that allows you to upload project plan files (such as Microsoft Project .mpp files), visualise them as interactive task tables and Gantt charts, compute deterministic project insights, generate AI-powered analysis, and share read-only views with stakeholders.

PlanSight is not a project management tool. It does not edit, modify, or replace the source project plan. It is a visibility, analysis, and communication layer over plans you create elsewhere.

2. Account tiers

PlanSight offers three tiers:

  • Anonymous — No account required. Upload, view, share, export, and access cached AI analysis. Plans uploaded anonymously are automatically deleted 24 hours after upload.
  • Free (signed-up) — Free account. Persistent storage of plans subject to tier limits, single AI analysis generation per plan (cached), access to your dashboard.
  • Pro — Paid subscription. Unlimited plans, regenerate AI analysis on demand, saved filtered views, annotations, PDF export, custom branding, higher upload limits, and other features described on our pricing page.

Specific tier limits (plan caps, file size caps, task count caps) are published on the pricing page and may change with notice.

3. Account registration

To create an account you must:

  • Be at least 18 years old, or have legal authority to enter into this agreement;
  • Provide accurate registration information and keep it current;
  • Keep your login credentials confidential and not share account access;
  • Notify us promptly of any unauthorised use of your account.

You are responsible for all activity under your account.

4. Customer Content

4.1 Definition

"Customer Content" means any data, file attachments, project plans, task information, annotations, comments, or other content that is uploaded or submitted to the Service by you or your users and is processed by PlanSight on your behalf. Customer Content does not include usage, statistical, or technical information that does not identify you or your users.

4.2 Ownership

You retain ownership of all Customer Content. We do not claim ownership over any project plans, files, or data you upload.

4.3 Licence to us

You grant PlanSight a limited, worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display Customer Content solely as necessary to:

  • Provide and operate the Service;
  • Parse uploaded files and compute project insights;
  • Generate AI analysis on your behalf;
  • Render share views to recipients you authorise;
  • Maintain and secure the Service.

4.4 What we do not do with your data

  • We do not sell Customer Content.
  • We do not use Customer Content to train AI models. Anthropic, our AI provider, does not use API inputs to train models under its commercial data policy.
  • We do not access Customer Content other than as necessary to provide the Service or as required by law.

4.5 Your responsibilities

You represent and warrant that:

  • You have all necessary rights and permissions to upload Customer Content and grant the licence in section 4.3;
  • Customer Content does not infringe any third party's intellectual property, privacy, or other rights;
  • Customer Content complies with all applicable laws.

5. Share links

Pro and Free tier users may generate public share links to allow read-only viewing of plans by stakeholders without requiring those stakeholders to register.

You acknowledge that:

  • Share links use unguessable 128-bit identifiers but are accessible to anyone who possesses the link;
  • It is your responsibility to control distribution of share links;
  • You should not share plans containing confidential information you are not authorised to share externally;
  • You can revoke share links at any time from your dashboard.

6. AI Analysis

6.1 What it is

PlanSight generates AI Analysis using third-party large language models (currently Anthropic Claude). AI Analysis includes narrative project summaries, identified risks, and recommendations based on the structured content of your uploaded plan.

6.2 Disclaimer

AI Analysis is generated through machine learning processes and is not tested, verified, endorsed, or guaranteed to be accurate, complete, or current by PlanSight.

You must not treat AI Analysis as the sole basis for any project decision with material financial, operational, business, or safety impact. You remain solely responsible for reviewing, validating, and applying professional judgement to any AI Analysis before relying on it or sharing it with stakeholders.

6.3 No professional advice

PlanSight and AI Analysis are provided for informational purposes only and do not constitute project management, financial, legal, accounting, tax, or other professional advice. Use of the Service does not create any professional, fiduciary, or advisory relationship between you and PlanSight.

6.4 Output is not unique

You acknowledge that AI Analysis is generated by a third-party model and similar inputs from other users may produce similar outputs. You do not have exclusive rights to AI Analysis text.

7. Subscriptions, billing, and renewal

7.1 Fees

Pro subscriptions are billed in advance, either monthly or annually, at the rates published on our pricing page. All fees are in Australian Dollars (AUD) unless otherwise specified. Fees are inclusive of GST where applicable; we issue tax invoices via Stripe.

7.2 Payment processing

Payments are processed by Stripe, our payment processor. By providing payment information, you authorise PlanSight (via Stripe) to charge your payment method for the Fees, including recurring Fees on each renewal date.

We do not store full payment card details. Stripe's handling of your payment information is subject to Stripe's terms and privacy policy.

7.3 Auto-renewal

Your Pro subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current rate, until you cancel.

You may cancel auto-renewal at any time from your account dashboard. Cancellation takes effect at the end of your current billing period; you retain Pro access until that date.

7.4 Price changes

We may change subscription prices. For existing subscribers, we will give at least 30 days' notice by email before any price change takes effect, and the new price will apply at your next renewal. You may cancel before renewal if you do not accept the new price.

7.5 Failed payments

If a renewal payment fails, we may retry the payment, suspend your Pro features, or downgrade your account to the Free tier. We will notify you by email before downgrading.

7.6 Refunds

Payment obligations are non-cancellable and, except as expressly stated in these Terms or as required by Australian Consumer Law, non-refundable. We do not provide refunds for partial billing periods, unused time, or features you chose not to use.

8. Free and anonymous tiers

The Anonymous and Free tiers are provided without charge. To the maximum extent permitted by law:

  • Free tiers are provided "as is" without warranty of availability, accuracy, or fitness for any purpose;
  • Anonymous plans are deleted 24 hours after upload; you should not rely on them for persistent storage;
  • We may modify, suspend, or terminate free tiers at any time, with or without notice;
  • Free tier Customer Content may be permanently lost, and we will not be liable for such loss.

9. Acceptable use

You agree not to:

  • Use the Service in violation of any law, regulation, or third-party rights;
  • Upload Customer Content that is illegal, infringing, defamatory, obscene, or otherwise harmful;
  • Reverse engineer, decompile, or attempt to extract the source code or system prompts of the Service;
  • Resell, sublicense, or redistribute access to the Service without our written consent;
  • Use the Service to build, train, or improve competing AI models or services;
  • Use the Service for security testing, benchmarking, or competitive analysis without prior written consent;
  • Scrape, crawl, or use automated means to access the Service beyond documented APIs;
  • Bypass tier limits, rate limits, or technical access controls;
  • Use AI Analysis for automated decision-making affecting individuals' legal rights, employment, credit, or similar significant matters without human review and compliance with applicable law;
  • Use the Service for discriminatory, harassing, harmful, or unethical purposes;
  • Interfere with or disrupt the Service or its underlying infrastructure.

We may suspend or terminate accounts that breach these rules.

10. Intellectual property

10.1 Our IP

PlanSight, including all software, designs, trademarks, logos, user interfaces, documentation, and underlying technology, is owned by AI Solution Maven and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

10.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback to improve the Service, without obligation to you.

11. Termination

11.1 Cancellation by you

You may cancel your account at any time via your dashboard. Cancellation effects are as described in section 7.

11.2 Termination by us

We may suspend or terminate your account if:

  • You breach these Terms and fail to cure within 14 days of written notice (or immediately, for serious breaches);
  • We are required to do so by law;
  • We reasonably believe your use poses a security or legal risk to PlanSight or other users.

11.3 Data on termination

On cancellation or termination, you have 30 days to export your plans via the Excel export feature. After 30 days, we will permanently delete your Customer Content, except where retention is required by law, in which case we will isolate and protect such retained data.

12. Service availability

We aim to make the Service available with high uptime but do not guarantee uninterrupted, error-free, or 100% available operation. The Service may be unavailable due to scheduled maintenance, infrastructure issues, third-party service outages (such as our hosting providers or AI provider), or events outside our reasonable control.

The Service depends on third-party services including Vercel (hosting), Supabase (database), Anthropic (AI), Stripe (payments), Render (file parsing), and others. Outages or changes in these third-party services may affect availability.

13. Warranties and disclaimers

13.1 As-is provision

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or quiet enjoyment.

13.2 No warranty on AI Analysis

We do not warrant the accuracy, completeness, currency, or fitness for any purpose of AI Analysis. See section 6.

13.3 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, or condition implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted, or modified. Where the Australian Consumer Law applies, our liability for breach of a non-excludable guarantee is limited (to the extent permitted) to re-supplying the Service or refunding the price paid for the Service in the affected period.

14. Limitation of liability

14.1 Cap

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of:

  • The total fees you paid to us in the 12 months preceding the event giving rise to the claim; or
  • AUD $100.

14.2 Excluded damages

To the maximum extent permitted by law, in no event will PlanSight, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, loss of data, loss of goodwill, or business interruption, whether in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

14.3 Scope

The limitations in this section apply regardless of the form of action and to the maximum extent permitted by applicable law. They do not exclude liability that cannot be excluded under the Australian Consumer Law.

15. Indemnification

You agree to indemnify and hold harmless PlanSight, its affiliates, and their respective officers, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your Customer Content, including any claim that it infringes third-party rights;
  • Your use of the Service in breach of these Terms or applicable law;
  • Your distribution of share links to recipients not entitled to access the underlying Customer Content.

16. Changes to these Terms

We may update these Terms from time to time. For material changes, we will give at least 30 days' notice by email and/or in-app notification before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service before the effective date.

The "Last updated" date at the top reflects the latest revision.

17. Governing law and disputes

These Terms are governed by the laws of Queensland, Australia. The courts of Queensland have non-exclusive jurisdiction over any disputes.

Before commencing legal proceedings, you agree to first contact us at the email address below and attempt good-faith resolution. This does not limit your right to seek urgent injunctive relief or rights under the Australian Consumer Law.

18. General

  • Entire agreement. These Terms (together with the Privacy Policy and Refund Policy) constitute the entire agreement between you and PlanSight regarding the Service.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force.
  • No waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. We will send notices to the email address associated with your account. Notices to us should be sent to the contact address below.
  • Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control, including natural disasters, infrastructure outages, or government action.
